Welcome to WaterfallBridge. These Terms of Service ("Terms") govern your access to and use of our software product, WaterfallBridge, including any updates, new features, and related services (collectively, the "Service").

By subscribing to, downloading, installing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.
WaterfallBridge is a desktop software application delivered as a Microsoft Excel add-in that provides automated data analysis tools, specifically for creating Bridge charts and Contribution Analysis for variance decomposition.

Delivery Method: The software is delivered as a digital download. Upon successful subscription payment, you will receive access to download the Excel add-in file (.xlam) and installation instructions via email.

Each subscription license grants one (1) individual user the right to use the software. For multiple users, separate subscriptions are required. Contact us at sales@waterfallbridge.com for volume licensing options.
WaterfallBridge is offered as an annual subscription service. The current subscription fee is $20.00 USD per year, per user license.
All payments are processed securely through Paddle.com Market Ltd., our authorized payment processor. By subscribing, you authorize Paddle to charge your selected payment method for the subscription fees.
Your subscription will automatically renew at the end of each subscription period (annually) unless you cancel before the renewal date. You will be charged the then-current subscription rate upon renewal.
We reserve the right to modify subscription pricing. Price changes will take effect at the start of the next subscription period after notice is provided. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
Subscription fees may be subject to applicable taxes based on your location. Paddle, as our payment processor, is responsible for calculating and collecting any applicable VAT, GST, or sales tax.
You may cancel your subscription at any time. To cancel, contact us at support@waterfallbridge.com or manage your subscription through your Paddle account.

Upon termination or expiration of your subscription, your license to use the software terminates immediately. You must cease all use of the software and may optionally uninstall it from your devices.
WaterfallBridge processes all your analysis data locally on your computer. Your data files never leave your device during the analysis process. We do not collect, access, or store any of your business data or analysis content.
We collect and process certain personal information necessary to provide the Service, including your email address and payment information (processed by Paddle). See our Privacy Policy for complete details on how we handle your personal data.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

The software requires Microsoft Excel 2016 or higher. We recommend using the latest version of Microsoft 365 for optimal performance. We do not guarantee compatibility with all Excel versions, configurations, or operating systems.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WATERFALLBRIDGE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:
IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
The Service, including all software, algorithms, documentation, interfaces, and content, is owned by WaterfallBridge and protected by copyright, trademark, and other intellectual property laws.
"WaterfallBridge" is our trademark. You may not use our trademark without prior written permission.
Your license does not grant you any ownership rights to the software, only the right to use it in accordance with these Terms.
We may periodically release updates, upgrades, or new versions of the software. Active subscribers receive all updates at no additional charge.

You are responsible for installing updates. We recommend keeping the software up to date for optimal performance and security.
Active subscribers receive priority email support. We will make reasonable efforts to respond to support inquiries within 24 hours during business days (Monday-Friday, UTC+8).

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or through the Service.
Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must cancel your subscription.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where WaterfallBridge operates, without regard to conflict of law principles.
Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes may be brought in the courts of competent jurisdiction in our operating location.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and WaterfallBridge regarding your use of the Service and supersede all prior agreements and understandings.
